  1. Introduction to the Cooperative
    1. Global Digital is a cooperative registered on March 26, 2019, in the state of Minnesota, United States of America. It complies with cooperative regulations applicable worldwide.
    2. It is registered under the name Global Digital Cooperative with the identification number 1076839800024. The legal address is: 9800 Shelard Parkway, Plymouth, MN 55441, Minnesota, USA.
    3. From here on, we will refer to Global Digital Cooperative as GDC, legally presented as a cooperative, being global and digital.
  2. Document use
    1. The following document is part of GDC's legal documentation, which lists all established rules governing activities, commercial or not, that take place within the cooperative scope.
    2. The rulebook, hereinafter referred to as “Rules” is published in the legal documentation section of GDC and at the address rules.gdc.coop, being a public document available to all members.
    3. This document is versioned and will always be published dated as at the last update. Any change in the content of the document will be notified with a text "Important Notice" which, will be published in the virtual office of all members.
    4. The “Rules”, together with the “Coop Paper”, synergistically and complementarily constitute, all the rules and definitions that, regulate the activities of accredited GDC members. Both documents are, supported by the “By Law” (original document of GDC).
    5. Both documents, “Rules” and “Coop Paper” are intended to be material for permanent consultation by all GDC members of.
  3. Cooperative Structure
    1. Coop Partners.
      1. Only individuals or companies that have signed business contracts will have access as Co-op Partners.
      2. All contracts must be approved by the Council of Continental Ambassadors by a simple majority.
      3. The possibility of being a Partner of the cooperative is open to all members.
      4. To obtain an exclusive contract as a Partner, the written project must be submitted to the President or General Commercial Coordinator, then it will be subject to a vote by simple majority. If approved, the contract will be signed.
      5. Partner contracts are valid for 12 years from the date of signing.
      6. Conditions for an Exclusive Partner Contract.
            *Accept YTC as a payment currency, leaving the percentage to be received in YTC at the Partner's discretion.
            *Proven experience in the required area of activity.
            *Accept that percentage of payment according to the type of GDC Member.
    2. Elite Team and Regional Franchisees:
      1. Definition: It is a team made up of the founders who can add more members based on the merits or quality contributions made by the members to the cooperative. This council votes by simple majority and meets monthly to approve or disapprove the projects presented.
      2. The initial composition of the first council is made up of founding members of the cooperative.
      3. They are appointed by the Elite Team or GDC President, through a membership request from one of the members. After a simple majority vote, the membership is approved.
      4. Approved members must first be City Cooperative Franchisees, and then they can be indicated to be members of the Elite Team.
      5. Dismissals are carried out using the same procedure, with a proposal and a simple majority vote.
    3. Executive Committees:
      1. Definition: Executive committees are working groups formed by members of the Cooperative with specific objectives.
      2. Members are chosen by the elite team assembly or the GDC President.
      3. Executive committees will have a task completion date, and their objectives must be specified during their formation.
      4. The activities of their participants may or may not be remunerated according to the decision of the GDC President.
    4. Operations:
      1. The Elite Team Council will select a company or professional for each of the areas that need to be developed within the cooperative.
      2. General Operational Coordination:
        1. Communication with the general operational coordination is done through the GDC President.
        2. The general coordination only responds to the GDC President.
        3. All communications received in the different sections will be studied jointly between the general operational coordination and the GDC President.
      3. General Commercial Coordination:
        1. Communication with the general commercial coordination must be done through the Partners or the Elite Team. It can also be done through the form presented on the official GDC website.
      4. Web Content & Design:
        1. Communication with the web content & design area must be done through the Partners or the Elite Team. It can also be done through the form presented on the official GDC website.
      5. Communication & Social Media:
        1. Definition: This area is responsible for being the communication link between the different Partners and the member base, both personal and business.
        2. Contact with the communication and social media area should be made through the Partners or the Elite Team Council, leaving it up to this area to decide whether the communication will be through social media or email to the cooperative members' base.
      6. E-learning System.
        1. Communication with the team that updates and maintains the e-learning system should be done through the Partners. It can also be done directly using the form presented on the official GDC website.
  4. Memberships
    1. To obtain a personal membership, it is mandatory to be invited by an already registered member.
    2. To be accepted, it is required to be subscribed to the official GDC newsletter, and to keep email information and personal data up to date.
    3. Business Members have free access to cooperative products and services in all Business Units of CDP 4.0 through direct invitation.
    4. Only personal members have the right to receive, at no cost, a virtual office called Personal Co-op Smart Office to carry out all offered activities.
    5. Business members have the right to receive, at no cost, a virtual office called Business Co-op Smart Office to carry out all proposed activities.
    6. All members receive a personalized YTC Wallet (YTC electronic wallet) for free.
    7. Voucher activations have a 10% administrative fee of the Voucher value.
    8. To obtain a Business membership, registration must be done through the exclusive page of a cooperative promoter, or if you already have a previous product in any of the business units of CDP 4.0, it can be obtained directly from the corresponding platform.
    9. Patronage shares or sponsorship dividends are a benefit that will be reinvested in technology in Global Digital Coop.
    10. To participate, it is required that the member is active.
  5. Online Learning System
    1. Members have access to the Free Learning System (online learning system regarding all tools, concepts, and definitions of GDC and its programs), receiving a virtual certificate for completing the online courses.
    2. City Cooperative Franchisees have access to the e-Learning program. This process must be completed for franchise activation, receiving a qualification certification that provides the assurance of being knowledgeable about all business aspects.
  6. Co-op Virtual Office (Smart office)
    1. Members and Business Members, along with their unique identification number (ID), receive an exclusive Co-op Smart Office (CSO).
    2. The CSO is an intelligent management system tailored to the user in real-time, allowing access to new systems.
  7. Cooperative Franchise Program
    1. Cooperative Franchises are granted personally through an online interview conducted by the GDC President. The granted contracts are valid for 12 years and can be rescinded without any penalty.
    2. Only one Cooperative Franchise is granted per city in each business unit. A City Cooperative Franchisee can obtain more than one business unit in their city without limit.
    3. Members receiving the CDP 4.0 Cooperative Franchise are called City Cooperative Franchisees and are presented on the official GDC website.
    4. If a City Cooperative Franchise (FCC) that has already been granted is requested, a standby list will be created, which will be available in case of a vacancy. If assigned to the next person on standby, a notification will be sent via email and alerts in their virtual office.
    5. To participate in the City Cooperative Franchisees (FCC) Staff, it is required to be a GDC Cooperative Diamond Promoter, working to strengthen the program worldwide and supporting City Cooperative Franchisees.
    6. City Cooperative Franchises (FCC) have a support service for technological issues, billing errors, advertisement problems, or virtual office issues available worldwide, 24 hours a day, in multiple languages.
    7. The response will be provided through the same medium.
    8. All commercial and non-technological questions should be referred to KaiZen.
    9. Automatic deactivation may occur for failing to pay the maintenance fee or any corresponding program fee.
    10. The final product prices for customers are stipulated by Global Digital Cooperative.
    11. The City Cooperative Franchisee exclusively receives the CDP4.0 Commercial License for a Business Unit in the selected city for a period of 1 year.
    12. The City Franchisee has maximum priority in Support and access to specific tools for this type of Commercial License.
  8. Fees
    1. All payments made by any Franchise to GDC as a fee or product purchase will be paid with their GDC E-wallet.
    2. All payments made through the shopping cart may have an administrative fee charge of 10% of the paid amount, which is charged in the same currency used for the payment.
    3. Maintenance payments will be automatic debits from virtual offices, with notifications and reminders before the due dates.
    4. Failure to make the corresponding payment, and any of the fees, will result in an automatic franchise block.
    5. Every block generates an automatic Reactivation Fee of 15 dollars.
    6. Payment of the reactivation fee will not deliver gift codes.
    7. Any Franchise blocked for 10 or more days will be automatically deactivated.
    8. Upon franchise deactivation, the Franchisee will lose all acquired product codes.
    9. The E-Voucher cannot be used to pay the reactivation fee of a blocked Franchise.
    10. E-Vouchers can only be used to pay the “Annual Renewal Fee” of an Active City Cooperative Franchise that is not blocked or activate a new City Cooperative Franchise for eligible members.
    11. Monthly Maintenance Fee (MMF):
      1. A 30-dollar payment will be made once a month on the same date, under the following conditions:
        1. Initial Payment Date: The first payment will be made on the franchise registration date. For example, if the registration is on August 10, the first payment will be on September 10, and so on.
        2. Payments on End Days of the Month: If the registration occurs on the 29th, 30th, or 31st of the month:
              *If the registration is on the 29th, 30th, or 31st of a month, subsequent payments will be made on the last day of each month.
              *In months with 30 days, the payment will be made on the 30th.
        3. Establishing the New Date: Once the last day of the month (29th, 30th, or 31st) is established, it will remain as the new monthly payment date for all subsequent months, adapting to the specific duration of each month.
    12. Annual Renewal Fee:
      1. A 400-dollar payment will be made once a year on the same date, under the following conditions:
        1. Initial Payment Date: The first payment will be made on the agreed start date. For example, if the first payment is on August 10, the next payment will be on August 10 of the following year, and so on.
        2. Payments in February: If the first payment is made on February 29, the annual payment will be made on February 28 of each year.
  9. Inactive Accounts
    1. Definition: Inactive GDC accounts are those that have not been used for a period of 180 days. GDC reserves the right to delete an inactive account, along with its activity and data.
      The date when GDC accounts may start being deleted under this policy is January 1, 2024.
    2. Inactivity is determined based on logins to the GDC CSO.
    3. If an account is considered inactive, all its content and data may be deleted. Before this happens, you will be able to take action on your account when GDC sends you the following:
